Cross-border project management
Regulatory navigation and compliance support
Stakeholder coordination across time zones and cultures
Specific deliverables, timelines, and scope will be outlined in a separate Statement of Work or consulting agreement.
3. Client Responsibilities
By engaging our services, you agree to:
Provide accurate and timely information necessary for project execution
Comply with all applicable laws and regulations in target markets
Maintain confidentiality of proprietary methodologies and strategic recommendations
Communicate openly about business objectives, constraints, and challenges
4. Payment Terms
Payment terms will be defined in your consulting agreement. Unless stated otherwise:
Invoices are due within 30 days of receipt
Late payments may incur interest at a rate of 1.5% per month
Retainer fees, if applicable, are non-refundable once work has commenced
5. Intellectual Property
Strategic frameworks, methodologies, and proprietary analysis tools developed by Head Change AI LLC remain our intellectual property
Deliverables created specifically for your project (market assessments, partner recommendations, implementation plans) become your property upon full payment
You receive a non-exclusive license to use general frameworks and methodologies provided during our engagement
6. Confidentiality
Both parties agree to maintain strict confidentiality regarding:
Business strategies, market intelligence, and expansion plans
Partner relationships and vetting information
Financial data and operational details
Proprietary processes and competitive information
This confidentiality obligation survives termination of the consulting relationship.
7. No Guarantees or Warranties
Important Disclaimers:
We provide strategic consulting and advisory services, not legal, financial, or regulatory advice
Market entry success depends on numerous factors beyond our control, including market conditions, execution quality, and client decision-making
We make no guarantees regarding business outcomes, revenue targets, or partnership success
Partner recommendations are based on available information and due diligence, but ultimate vetting and selection remain the client's responsibility
8. Limitation of Liability
Head Change AI LLC is not liable for:
Indirect, incidental, or consequential damages arising from consulting recommendations
Losses resulting from client decisions, partner relationships, or market conditions
Delays or failures caused by factors beyond our control, including regulatory changes, political instability, or force majeure events
Actions or failures of third-party partners, service providers, or local contacts
Our total liability shall not exceed the fees paid by the client for the specific engagement in question.
9. Termination
Either party may terminate the consulting engagement with 30 days written notice. Upon termination:
Client is responsible for payment of all work completed through the termination date
We will deliver all completed deliverables and work product paid for by the client
Both parties remain bound by confidentiality obligations
Any retainer fees for work not yet performed will be refunded on a pro-rata basis
10. Independent Contractor Relationship
Head Change AI LLC operates as an independent contractor. Nothing in these Terms creates an employment, partnership, or joint venture relationship between the parties.
11. Modifications
Head Change AI LLC reserves the right to update these Terms and Conditions. Clients will be notified of material changes. Continued engagement of services after modifications indicates acceptance of updated Terms.
12. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of California, United States.
Any disputes shall be resolved through good-faith negotiation or, if necessary, binding arbitration in Orange County, California.
